All information and content available on the Site and its “looks and feel”, including but not limited to trademarks, logos, marks, texts, names, photographs, audio clips, referencing REJUUV, REJUUV MEDI SPA is the property of REJUUV MEDI SPA INC and is protected by Canadian laws, including laws governing copyrights and trademarks. REJUUV MEDI SPA INC’s trademarks and trade dress may not be used in any manner for any purpose without express written consent.
Except as set forth in the limited licenses in Section 6 below, or as required under applicable law, neither the Content nor any portion of the Site may be used, reproduced, duplicated, copied, sold, resold, accessed, modified, or otherwise exploited, in whole or in part, for any purpose without our express, prior written consent.

6. Limited Licenses

We grant you a limited, revocable, and non-exclusive license to access and make personal, non-commercial use of the Site. Any unauthorized use by you of the Site or any and/or all of our Content automatically terminates the limited licenses set forth in this Section 6 without prejudice to any other remedy provided by applicable law or these Terms and Conditions.

7. Your Obligations and Responsibilities

You shall act always in accordance with the law, custom, and in good faith. You may not make any change or alteration to the Site or any Content or services that may appear on this Site and may not impair in any way the integrity or operation of the Site. Without limiting the generality of any other provision of these Terms and Conditions, if you default negligently or willfully in any of the obligations set forth in these Terms and Conditions, you shall be liable for all the losses and damages for the wrongful use of the website that may cause to VENTMERE LTD; and any branding loss and damages to REJUUV MEDI SPA INC, or any of our associated vendors and partners, or licensors.

You may choose to register at our Site if you are over the age of majority in your jurisdiction of residence. Do not register if you are not over the age of majority in your jurisdiction of residence. 9. Rejuuv.com Members Only Access

Access to some portions of this Site (e.g., My Account, Loves, Orders, Points and Rewards, Beauty Advisory) is only permitted for Rejuuv.com members through the use of a personalized ID that Rejuuv issues to each Rejuuv.com member and a password. Pursuant to and without limited the generality of Section 6 hereof, any distribution of your personalized ID, password or the Content of this Site to any third party is strictly prohibited. We do not endorse or control the User Content transmitted or posted on the Site and therefore, we do not guarantee the accuracy, integrity or quality of User Content. You understand that by using the Site, you may be exposed to User Content that is offensive, indecent or objectionable to you. 14. User Representations

Regarding Your Registration
By registering an account on the Site, you represent and warrant that:

you will maintain the accuracy of such information;
you will keep your password confidential and will be responsible for all use of your password and account;
you are not a minor in the jurisdiction in which you reside; and
your use of the Site does not violate any applicable law or regulation.

Regardless of whether you register an account on the Site, if you provide any information on the Site that is untrue, inaccurate, not current or incomplete, or if Company has reasonable grounds to suspect that such information is untrue, inaccurate, not current or incomplete, Company has the right to suspend or terminate your account and/or refuse you any and all current or future use of the Site (or any portion thereof).

We reserve the right to remove or reclaim or change a user name you select if we determine in our discretion that it is inappropriate, such as when the user name is obscene or otherwise objectionable or when a trademark owner complains about a username that does not closely relate to a user's actual name.

Regarding Content You Provide
The Site may invite you to submit Product reviews, chat or participate in blogs, online forums and other interactions with the Site and other users, and may provide you with the opportunity to create, submit, post, display, transmit, perform, publish, distribute or broadcast content and materials to Rejuuv.com and/or to or via the Site, including, without limitation, text, writings, video, audio, photographs, graphics, comments, suggestions or personally identifiable information or other material (collectively “Contributions”). Any Contributions you transmit to Rejuuv.com will be treated as non-confidential and non-proprietary. When you create or make available a Contribution, you thereby represent and warrant that:
the creation, distribution, transmission, public display and performance, accessing, downloading and copying of your Contribution does not and will not infringe the proprietary rights, including but not limited to the copyright, patent, trademark, trade secret or moral rights of any third party;
you are the creator and owner of or have the necessary licenses, rights, consents, releases and permissions to use and to authorize Rejuuv.com and users of the Site to use your Contributions as necessary to exercise the licenses granted by you under this Agreement;
you have the written consent, release, and/or permission of each and every identifiable individual person in the Contribution to use the name or likeness of each and every such identifiable individual person to enable inclusion and use of the Contribution in the manner contemplated by this Website;
your Contribution is not obscene, lewd, lascivious, filthy, violent, harassing or otherwise objectionable (as determined by Rejuuv.com), libelous or slanderous, does not ridicule, mock, disparage, intimidate or abuse anyone, does not advocate the violent overthrow of any government, does not incite, encourage or threaten physical harm against another, does not violate any applicable law, regulation, or rule, and does not violate the privacy or publicity rights of any third party;
your Contribution does not contain material that solicits personal information from anyone under 18 or exploit people under the age of 18 in a sexual or violent manner, and does not violate any federal or state law concerning child pornography or otherwise intended to protect the health or well-being of minors;
your Contribution does not include any offensive comments that are connected to race, national origin, gender, sexual preference or physical handicap;
your Contribution does not otherwise violate, or link to material that violates, any provision of this Agreement or any applicable law or regulation; and
in submitting your Contribution you have not used a false e-mail address, pretended to be someone other than yourself, or otherwise misled Company or third parties as to the origin of any Contribution.

15. Prohibited Activities

You may not access or use the Site for any purpose other than that for which Rejuuv.com makes it available. The Site may not be used in connection with any commercial endeavors except those that are specifically endorsed or approved by Rejuuv.com. Prohibited activity includes, but is not limited to:

attempting to bypass any measures of the Site designed to prevent or restrict access to the Site, or any portion of the Site;
attempting to impersonate another user or person or using the username of another user;
criminal or tortious activity;
deciphering, decompiling, disassembling or reverse engineering any of the software comprising or in any way making up a part of the Website;
deleting the copyright or other proprietary rights notice from any Site content;
except as may be the result of standard search engine or Internet browser usage, using or launching, developing or distributing any automated system, including, without limitation, any spider, robot (or “bot”), cheat utility, scraper or offline reader that accesses the Website, or using or launching any unauthorized script or other software on the Website;
harassing, annoying, intimidating or threatening any Company employees or agents, vendors, associates of VENTMERE LTD and REJUUV MEDI SPA INC, engaged in providing any services to you;
interfering with, disrupting, or creating an undue burden on the Site or the networks or services connected to the Site;
making any unauthorized use of the Site, including collecting usernames and/or email addresses of users by electronic or other means for the purpose of sending unsolicited email, or creating user accounts by automated means or under false pretenses;
selling or otherwise transferring your user profile;
systematic retrieval of data or other content from the Website to create or compile, directly or indirectly, a collection, compilation, database or directory without written permission from Company;
tricking, defrauding or misleading Rejuuv.com and/or other users, especially in any attempt to learn sensitive account information such as passwords;

using the Site or data or other content from the Site as part of any effort to compete with Company or to provide services; and
using the Site in a manner inconsistent with any and all applicable laws and regulations.

16. Rejuuv.com Management

VENTMERE LTD reserves the right but does not have the obligation to:

monitor the Site for violations of these Terms of Use
take appropriate legal action against anyone who, in VENTMERE LTD’s sole discretion, violates this Agreement, including without limitation, reporting such user to law enforcement authorities;
in VENTMERE LTD’s sole discretion and without limitation, refuse, restrict access to or availability of, or disable (to the extent technologically feasible) any user’s Contribution or any portion thereof that may violate this Agreement or any Company policy;
in VENTMERE LTD’s sole discretion and without limitation, notice or liability to remove from the Site or otherwise disable all files and content that are excessive in size or are in any way burdensome to VENTMERE LTD’s systems; and
otherwise manage the Site in a manner designed to protect the rights and property of VENTMERE LTD and others and to facilitate the proper functioning of the Site.

17. Product Information

The Products displayed on the Site can be ordered and delivered only within the selectable countries. See the Shipping Information section of the Site for more information. All prices displayed on the Site are quoted in Dollars of the country, shipping destination region at check out, and are valid and effective.

All material and information presented by Rejuuv.com is intended to be used for personal, educational or informational purposes only. The statements made about Products have not been evaluated by the U.S. Food and Drug Administration or any other government agency and the results reported, if any, may not necessarily occur in all individuals. The statements on the Site and Products sold through the Site are not intended to diagnose, treat, cure or prevent any condition or disease. The Products available on the Site, including any samples Rejuuv.com may provide to you, are for your personal use only. You may not sell or resell any Products you purchase or otherwise receive from Rejuuv.com. VENTMERE LTD reserves the right, with or without notice, to cancel or reduce the quantity of any order to be filled or Products to be provided to you that may result in a violation of this Agreement, as determined by VENTMERE LTD in its sole discretion.

Except where prohibited by law, Rejuuv.com may limit the number of Products available for purchase.

18. Color Information

While Rejuuv.com has tried to accurately display the colors of products, the actual colors you see will depend on your monitor and may not be accurate.

19. Purchase and Payment

Rejuuv.com bills you through an online billing account for purchases of Products and/or services. You agree to pay Rejuuv.com all charges at the prices then in effect for the Products you or other persons using your billing account may purchase, and you authorize Rejuuv.com to charge your chosen payment provider for any such purchases. You agree to make payment using that selected payment method. Rejuuv.com and VENTMERE LTD reserves the right to correct any errors or mistakes in pricing that it makes even if it has already requested or received payment. Sales tax will be added to the sales price of purchases as deemed required by Rejuuv.com. Rejuuv.com may change prices at any time. All payments shall be in Canadian dollars for orders made and shipped in Canada, all payments shall be in US dollars for all orders made and shipped in US.

20. Reservation of Rights

VENTMERE LTD reserves the right, at any time, without notice and in its sole discretion, to terminate your license to use the Site and to block or prevent your future access to and use of the Site. VENTMERE LTD may access, preserve and disclose your account information and Content if required to do so by law or in a good faith belief that such access, preservation or disclosure is reasonably necessary to (i) comply with legal process; (ii) enforce these Terms of Use, (iii) respond to claims that any Content violates the rights of third parties, (iv) respond to your requests for customer service, or (v) protect the rights, property or personal safety of VENTMERE LTD and Rejuuv.com (and its employees), its users and the public.

21. Representations and Warranties; Limitation of Liability

THE LAWS OF QUEBEC DO NOT ALLOW THE EXCLUSION OR LIMITATION OF WARRANTIES, LIMITATIONS OF LIABILITY OR CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE BELOW EXCLUSIONS OR LIMITATIONS MAY NOT APPLY TO YOU AND YOU MAY HAVE ADDITIONAL RIGHTS.

THE SITE IS PRESENTED "AS IS." WE MAKE NO REPRESENTATIONS, WARRANTIES OR CONDITIONS OF ANY KIND WHATSOEVER, EXPRESS, IMPLIED OR COLLATERAL, IN CONNECTION WITH THESE TERMS AND CONDITIONS OR THE SITE, INCLUDING BUT NOT LIMITED TO WARRANTIES AND CONDITIONS OF MERCHANTABILITY, NON-INFRINGEMENT OR FITNESS FOR A PARTICULAR OR GENERAL PURPOSE, EXCEPT TO THE EXTENT SUCH REPRESENTATIONS, WARRANTIES AND CONDITIONS ARE NOT LEGALLY EXCLUDABLE.

YOU AGREE THAT, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE WILL NOT BE RESPONSIBLE OR LIABLE (WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE) OR OTHERWISE), UNDER ANY CIRCUMSTANCES, FOR ANY (a) INTERRUPTION OF BUSINESS; (b) ACCESS DELAYS OR ACCESS INTERRUPTIONS TO THE SITE; (c) DATA NON-DELIVERY, MISDELIVERY, CORRUPTION, DESTRUCTION OR OTHER MODIFICATION; (d) LOSS OR DAMAGES OF ANY SORT INCURRED AS A RESULT OF DEALINGS WITH OR THE PRESENCE OF OFF-WEBSITE LINKS ON THE SITE; (e) COMPUTER VIRUSES, SYSTEM FAILURES OR MALFUNCTIONS WHICH MAY OCCUR IN CONNECTION WITH YOUR USE OR MISUSE OF THE SITE, INCLUDING DURING HYPERLINK TO OR FROM THIRD PARTY WEBSITES; (f) ANY INACCURACIES OR OMISSIONS IN CONTENT; OR (g) EVENTS BEYOND OUR REASONABLE CONTROL.

FURTHER, TO THE FULLEST EXTENT PERMITTED BY LAW, YOU EXPLICITLY ACKNOWLEDGE, UNDERSTAND AND AGREE THAT THE REJUUV.COM, VENTMERE LTD, REJUUV MEDI SPA INC PARTIES SHALL NOT BE LIABLE TO YOU FOR ANY INDIRECT, SPECIAL, PUNITIVE, INCIDENTAL, CONSEQUENTIAL DAMAGES OF ANY KIND, DAMAGES FOR LOST PROFITS, REVENUE, GOODWILL, USE, DATA, INTANGIBLE LOSSES, OR OPPORTUNITY OR FOR BUSINESS INTERRUPTION RELATED TO THE SITE OR YOUR USE THEREOF (OR INABILITY TO USE THE SITE) REGARDLESS OF THE FORM OF ACTION WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE) OR OTHERWISE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND IN NO EVENT SHALL OUR MAXIMUM AGGREGATE LIABILITY EXCEED ONE HUNDRED CANADIAN DOLLARS (CAD $100.00). 22. Indemnification

You agree to defend, indemnify and hold us, our affiliates, officers, employees, agents and licensors harmless for any loss, damages, claims, fines, penalties or costs, including reasonable attorneys' fees, resulting from any third party claim, action, or demand resulting from your (or anyone acting under your password and user name) use of the Site, any User Content made available on the Site or breach of these Terms and Conditions. You also agree to indemnify us for any loss, damages, or costs, including reasonable attorneys’ fees, resulting from your use of software robots, spiders, crawlers, or similar data gathering and extraction tools, or any other action you take that imposes an unreasonable burden or load on our infrastructure.

23. Disputes

Except in Quebec, with respect to any dispute regarding the Site, all rights and obligations and all actions contemplated by these Terms and Conditions shall be governed by the laws of the Province of Ontario, and the federal laws of Canada applicable therein, as if the Terms and Conditions were a contract wholly entered into and wholly performed within the Province of Ontario. Except in Quebec, to the fullest extent permitted by applicable law, any dispute relating in any way to your visit to the Site shall be submitted to confidential arbitration in the Province of Ontario and you submit to the jurisdiction and proceedings thereof, except that, to the extent you have in any manner violated or threatened to violate our intellectual property rights or the intellectual property rights of our affiliates, partners or licensors or otherwise have a cause of action in equity, we may seek injunctive or other appropriate relief in any court of competent jurisdiction and you consent to jurisdiction and venue in any such court for such purposes. Arbitration under this agreement shall be conducted in accordance with the Arbitration Act, 1991 (Ontario). The arbitrator's award shall be binding and may be entered as a judgment in any court of competent jurisdiction. To the fullest extent permitted by applicable law, no arbitration under these Terms and Conditions shall be joined to an arbitration involving any other party subject to this Terms and Conditions, whether through class arbitration proceedings or otherwise.

Notices to you may be made via e-mail or regular mail, or in cases of changes to these Terms and Conditions or to the services offered by the Site, by posting notices or links to such notices on the Site itself. 25. English Language

26. Fraud Protection Program

AS PART OF OUR ORDER PROCESSING PROCEDURES, WE SCREEN ALL RECEIVED ORDERS FOR FRAUD OR OTHER TYPES OF UNAUTHORIZED OR ILLEGAL ACTIVITY. WE RESERVE THE RIGHT TO REFUSE TO PROCESS AN ORDER DUE TO SUSPECTED FRAUD OR UNAUTHORIZED OR ILLEGAL ACTIVITY. IF SUCH IS THE CASE, WE MAY REJECT YOUR ORDER OR OUR CUSTOMER SERVICE DEPARTMENT MAY CALL YOU AT THE PHONE NUMBER YOU PROVIDED (OR USE YOUR EMAIL ADDRESS) TO CONFIRM YOUR ORDER. WE ALSO RESERVE THE RIGHT TO CANCEL ANY ACCOUNTS OR REFUSE TO SHIP TO CERTAIN ADDRESSES DUE TO SUSPECTED FRAUD OR UNAUTHORIZED OR ILLEGAL ACTIVITY. WE TAKE THESE MEASURES TO PROTECT OUR CUSTOMERS AS WELL AS OURSELVES FROM FRAUD OR OTHER UNAUTHORIZED OR ILLEGAL ACTIVITY.

27. Severability

The provisions of these Terms of Use are intended to be interpreted in a manner which makes them valid, legal, and enforceable. In the event any provision is found to be partially or wholly invalid, illegal or unenforceable, such provision shall be modified or restricted to the extent and in the manner necessary to render it valid, legal, and enforceable. It is expressly understood and agreed between the parties that such modification or restriction may be accomplished unilaterally by Rejuuv.com, or alternatively, by disposition of an arbitrator or a court of law. If such provisions cannot under any circumstances be so modified or restricted, they shall be excised from the Terms of Use without affecting the validity, legality or enforceability of any of the remaining provisions.

28. General

You acknowledge and agree that these Terms and Conditions and any and all other legal notices or statements posted on the Site constitute the complete and exclusive agreement between us concerning your use of the Site, and supersede and govern all prior proposals, agreements, or other communications.

We reserve the right, in our sole discretion, to change or modify all or part of these Terms and Conditions at any time by posting the changes on the Site and providing notice of such change. Except as may be prohibited by Quebec law, any changes are effective immediately upon posting to the Site and release of notice of such change. Your continued use of the Site thereafter constitutes your agreement to all such changed Terms and Conditions. In the event that any provision of these Terms and Conditions shall be unenforceable or invalid under any applicable law or be so held by any applicable arbitral award or court decision, such unenforceability or invalidity shall not render these Terms and Conditions unenforceable or invalid as a whole but these Terms and Conditions shall be modified, to the extent possible, by the adjudicating entity to most fully reflect the original intent of the parties as reflected in the original provision.
